Terms and Conditions

APPLICATION OF TERMS AND UPDATES

    By using Jollys Distribution services, you agree that the most recent version of these Terms & Conditions shall apply to all past, present, and future transactions, including services completed prior to any updates. Jollys Distribution reserves the right to modify these terms at any time, and such updates shall be binding on all users, including those with prior transaction or ongoing disputes, unless prohibited by law. By making a payment, you agree to our Terms and Conditions.


ORDERS

Minimum Opening Order: $200.00 All orders must be submitted through https://Jollysdistribution.com. Contact your sales representative for Jollys Distribution free freight minimum order rate delivered to your facility.  


PRICING

All prices are listed in US dollars. All prices are subject to change without notice.


INVOICES 
Jollys Distribution invoices are processed in attempt to be as accurate as possible. However, Jollys Distribution does not warrant that invoices or other content of the Web Sites is accurate, complete, reliable, current, or error-free. Despite Jollys Distribution efforts, it is possible due to computer, other error or cause that an invoice provided may be incorrect or contain an inaccuracy. In the event Jollys Distribution determines that an invoice is incorrect or contains an inaccuracy, Jollys Distribution reserves the right to take any action it deems reasonable and necessary, in its sole discretion, to rectify the error. You agree to notify Jollys Distribution immediately if you become aware of any errors or inconsistencies with any invoices provided to you and to comply with any corrective action taken by Jollys Distribution. 
PRODUCT AVAILABILITY
Our site does not reflect current product inventory. Your items will be selected for you on the day of the order, products are not “reserved” until the time your order is confirmed by Jollys Distribution. Inventory is dynamic: The number of available items is constantly changing as other customers browse and place orders, offline repeated date order processed, or an order processed offline via e-mail with payment from a reputable clientele before your order completion. 
PRODUCT ORDERS, CONTENT, SPECIFICATION AND DELIVERY

All features, content, specifications, products and prices of products and services described or depicted on the Sites are subject to change at any time without notice. Certain weights, measurements and similar descriptions are approximate and are provided for convenience purposes only. Jollys Distribution makes all reasonable efforts to accurately display the attributes of our products, including the applicable colors; however, the actual color you see will depend on your computer system, and we cannot guarantee that your computer will accurately display such colors. The inclusion of any products or services at a particular time does not imply or warrant that these products or services will be available at any time. While we will use our best efforts to fulfill all orders, we cannot guarantee the availability of any particular product displayed on the Sites. Jollys Distribution reserves the right to discontinue the sale of any product listed on the Sites at any time without notice. Product prices offered on the Sites may vary from other advertised prices due to varying conditions in different geographic markets. The prices displayed on the Sites are quoted in U.S. dollars and are valid and effective only within the United States, and such prices do not include shipping and handling or sales taxes, if applicable, which will be added to your total invoice price. You are responsible for the payment of any shipping and handling charges and state and local sales or use taxes that may apply to your order. While our goal is 100% error-free invoice, we do not guarantee that any content is accurate or complete, including price information and product specifications. If we discover price errors, they will be corrected on our systems, and the corrected price will apply to your order. Jollys Distribution reserves the right to revoke any stated offer and to correct any errors, inaccuracies or omissions (including after an order that have been submitted and accepted).

Delivery of Items/Materials/Flooring etc., products are drop at exterior door, curbside or loading dock only. This type of delivery service requires a flat, paved driveway accessible by a large box truck or tractor trailer. If these requirements are not met the delivery team will be forced to leave the material as close to the home or business as possible. Materials will be left outside in a driveway, at exterior door or on a sidewalk if no loading dock is available. You may want to tarp your product to keep it protected from weather. If you require special shipping arrangements (upstairs, rooftop etc.) we recommend that you select the "Special Shipping Arrangements" option on the Shipping Method page in checkout and complete the purchase of items in your order without specifying a specific shipping method. Delivery as local ordinance allows.


E-COMMERCE PRICING POLICY

Jollys Distribution intentions are to support full-priced business models.  Customers may not use Jollys Distribution or products we sell to advertise or otherwise promote Jolly's Distribution products on the Internet at a net price that is lower than our set MAP (minimum advertised price). Please refer to our line sheet for the MAP.

All sales and promotional events that involve lowering the net price described above should be short-term in scope and limited in frequency. If a customer operates outside this e-commerce pricing policy, Jollys Distribution will request that the customer cease advertising or promoting products on the Internet in violation of the policy. In addition, Jollys Distribution will cease to accept and/or ship orders from said customer.


E-COMMERCE INVENTORY POSITION

Jollys Distribution is interested in establishing business relationships with retailers who stock products. Therefore, we require that customers only feature products on their websites that they have in stock, ready to ship to their customers. Once the product is out of stock it should be marked as sold out and/or removed from the site.

Back orders will be shipped without notice if within 60 days of the order date.
All changes to open orders must be submitted in writing.

All orders must be submitted through https://Jollysdistribution.com. We do not accept orders over the phone. All orders must be written in full case pack quantities. If case pack quantities are not met, Jolly's Distribution reserves the right to increase the price of 2% per quantity to meet our case pack requirements.


E-COMMERCE LISTINGS

Online retail stores may use product descriptions or copy that can be found in our wholesale catalog or on https://Jollysdistribution.com. The supplier's name must be listed as Jolly's Distribution for all Jollys brand products.


THIRD PARTY MARKETPLACE POLICY

All online sales must come through your independent e-commerce site. Jollys Distribution no longer partners with companies who sell on Amazon.com or any other 3rd party websites such as Overtstock.com, Ebay, Walmart.com etc. Any existing or prospective customer must have approval from Jollys Distribution to obtain an exclusive agreement to sell on any third-party marketplace. If the company has not been approved to sell on Amazon.com or other third-party marketplace sites, Jolly's Distribution has the right to no longer accept orders from said company.


THIRD-PARTY CONTENT AND SITES; ADVERTISEMENT

The Site may contain links to third-party websites that are not owned, controlled or operated by Jollys Distribution, and the Site may also include links to third-party ads on the Site or otherwise, to or from third-party websites (collectively, “Third-Party Sites”), including websites operated by advertisers, licensors, licensees, and certain other third parties who may have business relationships with Jollys DistributionJollys Distribution may have no control over the content, operations, policies, terms, or other elements of Third-Party Sites, and Jollys Distribution does not assume any obligation to review any Third-Party Sites. Jollys Distribution does not endorse, approve, or sponsor any Third-Party Sites, or any third-party content, advertising, information, materials, products, services, or other items. Furthermore, Jollys Distribution is not responsible for the quality or delivery of the products or services offered, accessed, obtained by or advertised at such sites. Finally, Jollys Distribution will under no circumstances be liable for any direct, indirect, incidental or special loss or other damage, whether arising from negligence, breach of contract, defamation, infringement of copyright or other intellectual property rights, caused by the exhibition, distribution or exploitation of any information or content contained within these Third-Party Sites. Any activities you engage in connection with any of the same are subject to the privacy and other policies, terms and conditions of use and/or sale, and rules issued by the operator of the Third-Party Sites. Jollys Distribution disclaims all liability in connection therewith.


HOME IMPROVEMENT SERVICES 

Jollys Distribution: Jollys Distribution promises to perform all services in a professional manner and within industry standards.

Buyers Promises: I promise to Jollys Distribution that (a) I will provide Jollys Distribution with reasonable access to my property and the area in which the work is to be performed, including access to electrical outlets; (b) I will be responsible for safely moving and reinstalling any breakable items, extra heavy furniture such as pianos, stoves, pool tables, etc., and for disconnecting any electrical appliances in the work area - all to ensure that Jollys Distribution has proper and safe access to the work area (c) If I am removing any existing carpeting, or Demolition I will need to complete it 1 day before Jollys Distribution dose any work. If I have Jollys Distribution remove any carpeting, flooring, molding or demolition I will tell Jollys Distribution where to dispose of it.  And (d) If I ask Jollys Distribution to leave old materials that are being replaced on my property, I understand that Jollys Distribution will not be responsible for damages to those Items, and that those Items may not function after Jollys Distribution has replaced them. 


PROFESSIONAL FLOOR MESURING SERVICE AN FEE 

To schedule an in-home flooring measure, you’ll need to pay a non-refundable deposit of $99.99 max based on location. A professional in-home flooring measure is necessary to confirm the dimensions of the area requiring new flooring. This deposit will be credited toward the total cost of your carpet/flooring installation. Once we complete your measure and receive your new carpet selection, we’ll provide you with an itemized quote that includes: Final pricing for labor, materials, and any additional charges. A computer-generated floor plan for you to visualize. The measure takes about 45 minutes and includes taking pictures of the work area so your installer is prepared for the installation.


DELAY/UNKOWN CONDITIONS

I understand that if Jollys Distribution determines within 30 days of this Agreement that Jollys Distribution cannot perform the work according to Jollys Distribution normal professional standards, then Jollys Distribution can cancel this Agreement, notify me in writing (or by email if applicable) of the cancellation, and return my money. I understand that some of the things that could cause Jollys Distribution to cancel this Agreement would be incorrect pricing, unforeseen structural defects, or unknow preexisting conditions to my property. I understand that Jollys Distribution is not responsible for structure or other defects in my property, and that Jollys Distribution Products do not cure those types of problems. I also understand that the work could be delayed by events that Jollys Distribution Does not Control, and that is acceptable to me. Some of the things that could cause the work to be delayed would be Acts of God, Labor strikes, inclement weather, material shortage, my inability to qualify for or obtain financing, delays by government authorities in issuing or otherwise approving Inspection, permitting, or other required authorization for work. 


NO SET-OFFS OR RETENTIONS

I agree that when a service is "substantially completed" I will pay Jollys Distribution the balance due on the purchase price, I understand that "substantially complete" means the service has been materially finished, functional as intended, and a final inspection, permit, or occupancy certificate, if required has been obtained. I agree that once I have paid my entire purchase price, if I believe any service performed by Jollys Distribution is defective, Jollys Distribution will inspect the service and perform and service I am entitled to understand this Agreement and/or warranty. 


HOME IMPROVEMENT CANCELLATION

We reserve the right to cancel an order for any reason, including but not limited to a poor fit with Jolly's Distribution image, failure to pay after repeated attempts to contact the buyer, and/or proximity to another wholesale account. I understand that I have 3 business days to cancel any Home Improvement Repair, as described on the Notice or Rights to Cancel. I understand that if I want to cancel this agreement after those 3 days, Jollys Distribution does not have to allow that. As much as we hope that you'll never need to cancel your contract, if Jollys Distribution dose allow that, however, I agree I will pay to Jollys Distribution a late cancelation fee 25% or as otherwise allowed by the applicable law, of the agreements Purchase price for in-stock items, or 50% or as otherwise allowed by applicable law, of the agreement purchase for Special Ordered Items. This cancelation fee may be retained by Jollys Distribution from my deposit and help Jollys Distribution to offset the cost of order including scheduling, preparation and operation expenses attributable to my order, and placement of Special-Order Products, if applicable. I also agree that if I do not pay Jollys Distribution any of the money owed when it is due, I can be charged a late fee of 2% on the amount owed for each month the money is owed and not paid. I also agree that if my payment is returned unpaid by my financial institution, I authorize the electronic debit or use of bank draft drawn from my account in the amount of the payment plus a service fee of $25. I also agree that if I default on my promise under this Agreement, and Jollys Distribution hires an attorney to enforce this agreement, that I will pay Jollys Distribution its reasonable legal fees and related costs or expenses, as long as it is legal for me to do that. 


CANCELATION POLICY for INCORRECT or INCOMPLETE ADDRESSES
    If a customer provides an Inaccurate or incomplete address resulting in the inability to render service, Jollys Distribution Reserves the right to cancel the appointment. In such cases, a $99.99 no-show fee will be charged. 

NO SHOW FEE 
    If you failed to make yourself available to the Contractor/Mechanic on the date and time of the appointment, you would incur a $99.99 no show fee. If the customer does not show up for Their schedule appointment, the Contractor/Mechanic will wait for 15 minutes. After this waiting period, if the customer has not arrived or notified us of their delay, a no-show fee will be charged. 


SUPPLEMENTARY SERVICE POLICY
    If a customer has signed up for a specific service and during the course of the service, our Contractor/Mechanic determines that additional supplementary work is required and the customer elects to proceed with such work on the same day, an inspection/diagnostic fee of $99.99 may be applied. This fee is intended to compensate for the time spent on the road and the disruption to our schedule.

AUTOMOTIVE CERTIFIED MECHANIC CLAUSE
    The term "certified mechanic" used in our policies does not exclusively refer to ASE (Automotive Service Excellence) Certificate. While ASE certification is widely recognized in the automotive industry, our definition of certified mechanic encompasses individuals with equivalent certifications or experience and expertise in automotive repair. 

DUPLICATE CONTRACTOR/MECHANIC SITUATION 
     If our contractor/Mechanic arrives and finds another contractor/Mechanic already working on a project or vehicle, the labor charge will still apply to cover the Contractor/Mechanics time and travel. However, if any pre-purchased parts remain unused, the cost of those parts will be refunded, minus a 25% restocking fee if they need to be returned to the store.

AUTOMOTIVE MECHANIC SERVICE DECLINATION 
    If A customer declines a service After the mechanic have arrived at the Location, the customer will incur a $99.99 cancellation fee and charged a 25% restocking for the parts that needs to be returned to the store. This policy covers the mechanic time, travel expenses and any preparatory work done prior to arrival. 

AUTOMOTIVE MECHANIC PARTS RESTOCKING FEE
    If a customer orders the wrong service, there will be a 25% restocking fee for the parts needed to be returned to the store.
Example: If a customer requests a starter replacement, But the mechanic diagnose that the started is not the issue and replacement is unnecessary, the parts that were initially order for the service will have to be returned to the Wearhouse. In the case, a restocking fee of 25% of the total amount paid for the parts by the customer will be applied. This fee covers the cost associated with returning the parts to the supplier and restocking them. 

INCORRECT SERVICE SELECTED 
    In the event that a customer orders or select services that are deemed incorrect for their needs or Specifications, the full-service amount will be forfeited, or a diagnostic fee may be charged to identify the correct cause of the issue. This will be determined by Jollys Distribution on a case-by-case basis. It is the responsibility of the customer to ensure the accuracy of their service selection prior to conformation and payment. Refunds or credits will not be issued in cases where service have been mistakenly ordered or selected by the customer

LABOR ONLY SERVICE SELECTED
    If the customer chooses to obtain a diagnosis from a third-party Contractor/Mechanic and subsequently engages Jollys Distribution for repair services based on that diagnosis, Jollys Distribution shall be solely responsible for performing the repairs outline and agreed upon by the customer. In the event that the third-party diagnosis proves to be inaccurate, incomplete, or misses certain points, Jollys Distribution shall not be held responsible for any discrepancies or issues arising from the third-party diagnosis or incomplete assessment. 
   - By opting for labor only service with customer supplied parts you acknowledge and agree that you will be responsible for providing all necessary parts and supplemental materials required for the service. It is the customer responsibility to ensure that the provided parts are compatible, safe and of the correct specifications for the intended service.  In an event that a customer supplied parts are incorrect, incompatible, or unsafe for the intended service, the customer is still obligated to pay for the labor as defined in the original work order. The labor charges are separate from the cost of parts and remain due. 
    * Please note that it is the customers responsibility to provide all necessary parts and material for labor-only services. For Example, Automotive department: If a water pump replacement necessitates the removal of the intake manifold, it is incumbent upon the customer to supply the intake manifold gaskets. In the event that the customer fails to provide the required parts, our mechanic will utilize the existing gaskets. Jollys Distribution shall not be held responsible for any damages or complications arising from the use of existing gaskets or parts due to the customer failure to provide necessary components for labor-only services. 

AUTOMOTIVE BATTERY REPLACEMENT 
    We make car battery replacement easy and hassle-free. Our certified technicians will come to your location to test, replace, and correctly dispose of your old battery. We offer competitive pricing and a wide selection of both regular and AGM batteries to fit your vehicle's needs. Plus, our service includes a comprehensive battery health check to ensure you're back on the road quickly and safely. We will replace any battery we sell, should it fail due to defects in materials or workmanship, under normal installation, use and service, while under warranty.     
    DISCHARGED BATTERY - A battery that is within the warranty period and found to be only in a state of discharge will be recharged at no cost to you.
    FREE REPLACEMENT PERIODS - Your free replacement period begins the day you purchase the battery and expires at the end of the 'Free Replacement Period' printed on your Order Invoice, Order Confirmation email, when you sell your vehicle or equipment, whichever occurs first. When a battery is replaced during the 'Free Replacement Period', the warranty does not renew, it continues on from the original date of purchase.
    WARRANTY EXCLUSION* - Warranty does not cover removal of old battery or installation costs for the new battery and there is no right to purchase a battery at a discounted price following the expiration of the free replacement periodAutomotive batteries are warranted only when installed in cars or light trucks. Installation of an automotive battery in any other type of vehicle or equipment voids your warranty. All other battery types must be used for the purposes and applications for which they are intended, advertised or marketed by Jollys Distribution. Parts installed on commercial-use vehicles are warranted for 90 days from the date of purchase only, regardless of any longer warranty period that may be printed on your sales receiptTHIS WARRANTY DOES NOT COVER INCIDENTAL OR CONSEQUENTIAL DAMAGES SUCH AS PHYSICAL INJURIES, PROPERTY DAMAGE, LOSS OF TIME, LOSS OF USE OF THE VEHICLE, INCONVENIENCE, RENTAL VEHICLE, TOWING CHARGES, OR ACCOMODATIONS RESULTING FROM THE FAILURE OF THE BATTERY. Warranties do not apply in the following cases: a) the battery is merely discharged and still serviceable; b) the container, covers, or terminals are broken; c) the battery has been frozen or damaged due to neglect or abuse; d) the battery is damaged due to over or undercharging; e) the battery fails because of fire, collision, wreckage or explosion or because of a faulty electrical system; or, f) a battery is used in applications for which it was not designed, or is installed or charged in reverse polarity.

OIL FILTER REMOVAL POLICY
    Oil filter removal is charge on a hourly basis. If the oil filter is stuck, rusted, or otherwise difficult to remove, the mechanic will continue attempting removal until all reasonable options are exhausted. The customer will be responsible for all labor hours spent on the process, regardless of whether the filter is ultimately removed. This charge accounts for the time, efforts, and specialized techniques required to attempt removal safely without causing additional vehicle or machinery damage. 

PAYMENT 

We accept payment by Company Check, Wire Transfer, PayPal, Venmo, CashApp, Zelle and the following credit cards: Visa, Mastercard, Discover and American Express. Wire transfers have an additional $35 surcharge. Returned checks are subject to a $25.00 processing fee.


TERMS

Net 30 terms will only be offered upon approval to customers who have submitted satisfactory credit references and who have placed a minimum of 6 orders. Net 30 terms may be revoked after multiple late payments.


LATE PAYMENTS

Payments must be made on or before the due date. Late payments are subject to a 24.99% monthly finance charge. Jollys Distribution reserves the right to submit all unpaid invoices to a collection agency. The buyer is responsible for any collection costs or legal fees.


IN-HOUSE FINANCING 
Allows a customer to buy and finance a product or service from Jollys Distribution. Early repayment of the financed balance is allowed with no prepayment penalties.

*Grace Period: You have a 5-day grace period to make your payment before a late fee is assessed.
To support the introduction of our new in-house financing program, we propose a surcharge of 3% on financed amounts to cover operational costs, credit risk, and administrative overhead associated with offering credit. The surcharge will be added to the first payment of the total amount being financed. [By selecting in-house financing, you agree to the following terms]

CLAIMS

All shipments must be inspected at the time of delivery for shortage and damages before signing acceptance of goods. Any claims for damages or shortage of cartons must be made directly with the carrier immediately. We are not responsible for any delay or damage caused by the carrier. If there is concealed damage, please contact us within 7 days of receiving the goods.


SHIPPING

We ship by Jolly's Distribution truck, USPS Priority Mail, UPS Ground and USPS Priority Mail International for International orders. We are happy to work with you if there is another shipping method (Freight/DHL/FedEx) that you would prefer to use. We will not ship via any method that does not provide detailed tracking.


ADDITIONAL HANDLING & PACKAGING FEES

Special handling, labeling, or packaging requests are subject to an extra charge.

Jolly's Distribution does drop ship on prepaid orders and C.O.D orders with reputable clienteles


 DROP AT DOOR DELIVERY 

    Your driver will call or text you when they are on their way to make your delivery.  Your delivery will be left at your door unattended.  By choosing that your order be delivered, you accept full responsibility for your order after it has been delivered unattended, including but not limited to any loss, theft, damage or spoilage due to temperature sensitivity or other factors.  By providing your mobile phone number in the Delivery Instructions field herein, you consent to receiving phone calls and/or text messages informing you of your order’s status and, when possible, providing you with a photo of your order upon delivery.  If you request delivery of your order but do not provide your mobile phone number, your order will still be delivered to your door, but you may not be able to receive such calls and/or text messages.


NEXT DAY DELIVERY ("NDD") 

    Products that are eligible for NDD based on your current address will display a badge showing "NEXT DAY DELIVERY ELIGIBLE". NDD will be offered on eligible products. NDD availability may change based on the actual address to which the product(s) will be shipped. NDD is not available for PO Box, APO/FPO/DPO or US Territory addresses. Jollys Distribution NDD program is separate from (Standard 3-5 Day, or 2-3-Day Priority Delivery) delivery. If Jollys Distribution provides a guaranteed NDD date and misses the delivery date, customer's shipping fees for the expedited delivery time will be refunded. This is Jollys Distribution sole and exclusive liability for missing a delivery date. Jollys Distribution will not be liable for any indirect, consequential or special damages, including, but not limited to, loss profits, due to a delayed delivery date. The guarantee does not apply if we miss our promised delivery date because of an unforeseen circumstance outside of Jollys Distribution control, such as a strike, natural disaster, or severe winter storm. 
The following requirements must be met to qualify for NDD and related guaranty:
The shipping option selected on the order summary page must be next day delivery.
  • The product is shipped to an eligible address.
  • The order is placed before the cut off time listed in your cart or on the order summary page.
  • Your payment has been successfully processed.
  • Delivery scans may at times be inaccurate.


Delivery requirements are met in the event of an attempted delivery on or before the guaranteed delivery date or if the carrier offers a delivery appointment on or before the guaranteed delivery date.
NDD is available Monday-Friday, when offered. There will be limited availability on certain holidays and high-volume shopping days, including, but not limited to, Black Friday. In the event an item needs to be returned, you may do so at your local Jollys Distribution warehouse. If you do not have an Jollys Distribution warehouse near you, please call 973-878-8700 and a Customer Service representative will assist you with instructions and/or a shipping label for returning the items to Jollys Distribution. Canceling items, combining orders, changing item quantity, or changing your shipping address or shipping options after you place the order might affect your eligibility for NDD.
In the event an item is unavailable to ship immediately or out of stock when ordered, the shipping time starts when the item ships. All other Jollys Distribution standard shipping terms apply. Customer is solely responsible for payment of all charges, duties, fees and taxes on freight orders, international orders or otherwise incurred. These offers exclude shipment of gift cards and enhanced shipping options, such as next-day air, second day air, freight (freight may apply to overweight/oversized items) or international orders. These offers are limited to in-stock items and items offered for sale exclusively through Jollys Distribution, or special-order program.  Jollys Distribution reserves the right to end this offer at any time without notice.
LEAD TIMES

While we are happy to work with you to get your shipment out by a certain date, our lead times are not guaranteed. Once an order is confirmed, in-stock items usually ship in 1-2 days. Out of stock or backordered items usually ship in 1-4 weeks. If timing is critical, please submit your order at least two months before your need-by date. Lead times after tradeshows are 4-8 weeks.


SAMPLES

Samples may be purchased at wholesale prices with a maximum of 1 x sample per SKU. The minimum case pack quantities do not apply. The samples are not for resale. Samples can be included in an existing order or mailed separately. The customer is responsible for all shipping charges.


RETURNS

Merchandise cannot be returned without prior authorization. No returns or refunds will be given after 30 days from the invoice date. There will be a 25% restocking fee assessed for any items returned and the customer is responsible for return shipping charges. If returning merchandise due to defect or damage, Jollys Distribution will send you a return slip.


SUPPLIERS

Jollys Distribution is committed to purchasing products from suppliers that strive to treat all employees fairly and maintain excellent labor practices. Jollys Distribution enters into vendor agreements with its direct suppliers. Such agreements require Jolly's Distribution suppliers to comply with all applicable laws and regulations, which would necessarily prohibit the use of forced or child labor, slavery, and human trafficking. While Jollys Distribution does not regularly audit or verify its suppliers or require “certifications” from its suppliers regarding their compliance with the laws regarding slavery and human trafficking, Jollys Distribution continuously evaluates its suppliers, including the quality of their products and their adherence to their vendor agreements. Jolly's Distribution holds its suppliers accountable for compliance with its vendor agreements. Any Jollys Distribution supplier that fails to comply with applicable laws or ethical business practices may be subject to immediate business suspension or termination of the agreement upon notice by Jollys Distribution.


EMPLOYEES

All of Jollys Distribution employees are expected to conduct business ethically and in accordance with all applicable laws and regulations. Jollys Distribution further requires that all of its employees comply with Jollys Distribution Code of Conduct and Company Policy Manual, which incorporates Jollys Distribution company policies, procedures and the obligation to comply with applicable laws and regulations. Jollys Distribution employees are required to acknowledge the Code of Conduct and Company Policy Manual at the outset of their employment and continuing thereafter. Failure to act in accordance with those policies may result in corrective action or potential termination of employment. Jollys Distribution also continuously develops and enhances its training programs for its employees, and certain of its employees and management involved in the supply chain also have received specific training and education relative to the Act.


RATINGS AND REVIEWS TERMS OF USE

These Terms of Use govern your conduct associated with the Customer Ratings and Reviews and/or Questions and Answers service offered by Jollys Distribution 

By submitting any content to Jollys Distribution, you guarantee that:
  • You are the sole author and owner of the intellectual property rights in the content.
  • All "moral rights" that you may have in such content have been voluntarily waived by you.
  • All content that you post is accurate.
  • You are at least 18 years old.
  • Use of the content you supply does not violate these Terms of Use and will not cause injury to any person or entity.
You further agree that you may not submit any content:
  • That is known by you to be false, inaccurate or misleading.
  • That infringes any third party's copyright, patent, trademark, trade secret or other proprietary rights or rights of publicity or privacy That violates any law, statute, ordinance or regulation (including, but not limited to, those governing, consumer protection, unfair competition, anti-discrimination or false advertising).
  • That is, or may reasonably be considered to be, defamatory, libelous, hateful, racially or religiously biased or offensive, unlawfully threatening or unlawfully harassing to any individual, partnership or corporation;
  • For which you were compensated or granted any consideration by any third party;
  • That includes any information that references other websites, addresses, email addresses, contact information or phone numbers;
  • That contains any computer viruses, worms or other potentially damaging computer programs or files.
    You agree to indemnify and hold Jollys Distribution (and its officers, directors, agents, subsidiaries, joint ventures, employees and third-party service providers), harmless from all claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown including reasonable attorneys' fees, arising out of a breach of your representations and warranties set forth above, or your violation of any law or the rights of a third party.
    For any content that you submit, you grant Jollys Distribution a perpetual, irrevocable, royalty-free, transferable right and license to use, copy, modify, delete in its entirety, adapt, publish, translate, create derivative works from and/or sell and/or distribute such content and/or incorporate such content into any form, medium or technology throughout the world without compensation to you.
    All content that you submit may be used at Jollys Distribution sole discretion. Jollys Distribution reserves the right to change, condense, withhold publication, remove or delete any content on Jollys Distribution website that Jollys Distribution deems, in its sole discretion, to violate the content guidelines or any other provision of these Terms of Use. Jollys Distribution does not guarantee that you will have any recourse through Jollys Distribution to edit or delete any content you have submitted. 
    Ratings and written comments are generally posted within two to four business days. However, Jollys Distribution reserves the right to remove or to refuse to post any submission to the extent authorized by law. You acknowledge that you, not Jollys Distribution, are responsible for the contents of your submission. None of the content that you submit shall be subject to any obligation of confidence on the part of Jollys Distribution, its agents, subsidiaries, affiliates, partners or third-party service providers and their respective directors, officers and employees.
